  1. About Us

These Website Terms & Conditions apply to purchases made through the Tarpaflex website.

Tarpaflex Ltd is a family-run business supplying tarpaulins, covers, sheets and related products.

Our normal opening hours are Monday to Thursday 8:45am–5:00pm and Friday 8:45am–4:00pm. We are closed at weekends and on UK Bank Holidays.

These Terms apply to purchases made through our website.

Where a customer is purchasing wholly or mainly for purposes relating to their trade, business, craft or profession, the purchase may be subject to our separate Business Terms & Conditions of Sale and Trade Credit Terms, where applicable.

Where you are a consumer, nothing in these Terms limits or excludes any statutory rights that apply to your purchase.

  1. Making a Purchase

You may browse our website and add products to your shopping basket before proceeding to checkout.

You are responsible for ensuring that the product, size, quantity, specification, measurements and delivery address entered at checkout are correct.

When you place an order, you are making an offer to purchase the selected Goods.

An automated email acknowledging receipt of your order confirms that we have received your order but does not necessarily mean that we have accepted it or that a Contract has been formed.

A Contract is formed when we send confirmation that your order has been accepted, normally by email or invoice.

We reserve the right not to accept an order where, for example:

  • a product is unavailable;
  • there is an obvious pricing, product description or availability error;
  • we are unable to obtain the Goods from our supplier;
  • delivery to the requested location is unavailable;
  • the information supplied by the customer is incomplete or materially inaccurate; or
  • we reasonably suspect fraudulent, unauthorised or unlawful activity.

If we are unable to accept an order after payment has been taken, we will refund the amount paid.

  1. Prices and Payment

Online prices are displayed both excluding and including VAT where applicable.

Delivery charges are shown separately during the ordering process.

The delivery charge applicable to your order will be the charge displayed and agreed at checkout, subject to any express agreement made with you before the Contract is formed.

We accept the payment methods displayed at checkout, which may include major credit and debit cards and PayPal.

Payment must be made using an authorised payment method.

We use appropriate payment-processing and security measures. We do not store customers' full payment card details in plain text on our website.

We reserve the right to verify payment and fraud-prevention information before accepting an order.

  1. Product Information, Cut Size and Finished Size

We take reasonable care to ensure that product descriptions, photographs, colours, dimensions and specifications shown on the website are accurate.

Photographs are for illustration. Colours may vary depending on your screen, device, lighting conditions and other factors.

Unless expressly stated otherwise, dimensions stated for tarpaulins and fabricated covers refer to Cut Size rather than Finished Size.

Cut Size means the nominal dimensions of the material before fabrication or finishing.

Finished Size means the dimensions of the completed product after fabrication.

Fabrication processes including hems, seams, folds, stitching, welding, eyelets, reinforcement and other finishing processes can reduce the Finished Size compared with the Cut Size.

Unless a different tolerance is expressly stated on the relevant product page or agreed with us in Writing, tarpaulin dimensions may vary by up to 30cm on each dimension from the stated Cut Size.

Where a particular Finished Size is required, you must clearly state this before placing your order and obtain our written confirmation that the required Finished Size can be supplied.

Reasonable manufacturing tolerances may also apply to dimensions, weights, thicknesses, colours, finishes, eyelet positions and other characteristics.

Where a product is made to measurements or specifications supplied by you, you are responsible for ensuring that those measurements and specifications are accurate and suitable for the intended application, subject to any express agreement we make with you regarding suitability.

Nothing in this section affects your statutory rights where Goods are faulty, not as described or otherwise fail to conform to the Contract.

  1. Delivery

We aim to process orders as quickly as reasonably practicable. Priority may be given to express and next-working-day orders.

Unless otherwise stated, our normal delivery estimate is approximately 3–5 working days.

Delivery estimates are guidelines only and are not guaranteed unless we have expressly agreed a guaranteed delivery service with you.

Our standard delivery services may include:

  • Express 1–2 working days
  • 3–4 working day service
  • Standard 4–7 working days

Premium delivery services may also be available, including:

  • Next working day by 10:30am
  • Next working day by midday
  • Saturday delivery

Current delivery services, prices and available options will be displayed during the ordering process.

Premium delivery prices may vary depending on parcel weight, size and delivery location.

Orders for express services must be received by 3:30pm in order to be dispatched that working day, unless otherwise stated on the website or advised by our Sales Office.

The office is closed at weekends, and our couriers do not normally deliver at weekends unless a Saturday delivery service has been specifically selected and paid for.

The standard delivery services and charges displayed at checkout apply to UK Mainland deliveries unless otherwise stated.

Additional charges may apply to the Highlands, offshore islands, Isle of Wight, Isle of Man, Northern Ireland, Republic of Ireland, Scilly Isles, Channel Islands and other locations outside our standard delivery areas.

We will advise you of any additional delivery charge before dispatch where reasonably practicable and, where applicable, will obtain your agreement before charging an additional amount.

Delivery times may be extended during periods of exceptional demand, adverse weather, carrier disruption or other circumstances outside our reasonable control.

Unless otherwise agreed with you, we will deliver the Goods within the period required by applicable law.

We strongly recommend that you do not arrange or commence work which depends on the Goods arriving by a particular date until the Goods have been received and checked.

  1. Delivery Problems

You should ensure that someone is available to receive the delivery where this is reasonably required.

If nobody is available, our carrier may leave a delivery card or make a further delivery attempt.

Additional delivery charges may apply where reasonably incurred because:

  • a further delivery attempt is requested;
  • the delivery address is changed after dispatch at your request;
  • the Goods are returned to us because delivery could not be completed for reasons attributable to you; or
  • the Goods require redelivery because you were unavailable to receive them.

We will not charge additional delivery costs where the failure to deliver was caused by our error.

Where a delivery is returned to us because you were unavailable or because the delivery information supplied was incorrect, we may contact you to arrange redelivery.

Nothing in these Terms limits or excludes any statutory rights you have where Goods are not delivered within the period required by law or where we are otherwise responsible for the failure to deliver.

If you believe that an order has not arrived, please contact us as soon as reasonably possible so that we can investigate the delivery with the carrier.

  1. Back Orders and Out-of-Stock Goods

If a product is temporarily out of stock, we may offer to place it on back order.

If you have paid for an out-of-stock product in advance, we will normally contact you with an estimated availability date where reasonably practicable.

If the Goods cannot be supplied within the agreed or legally applicable delivery period, you may have a right to cancel the Contract.

Where you have a statutory right to cancel, you may exercise that right in accordance with section 9.

  1. Goods Received Damaged or Incorrectly Supplied

Please inspect your delivery as soon as reasonably practicable after receiving it.

If the Goods appear to have been damaged in transit, are incomplete or are different from those ordered, please contact us promptly with details of the problem and, where appropriate, photographs of the Goods and packaging.

This helps us investigate the matter with our carrier or supplier.

You should retain the Goods and packaging where reasonably possible until we have had an opportunity to investigate a reported problem.

Nothing in these Terms limits or excludes your statutory rights in respect of faulty, damaged, misdescribed or incorrectly supplied Goods.

  1. Your Right to Cancel

If you are a consumer buying Goods online, you normally have a legal right to cancel your Contract without giving a reason.

The cancellation period normally expires 14 days after the day on which you, or a person you nominate other than the carrier, receive the Goods.

Where an order consists of multiple Goods delivered separately, the cancellation period normally runs from the day after you receive the last Goods.

To cancel, you must clearly inform us of your decision before the cancellation period expires.

You may email us at sales@tarpaflex.co.uk or use the cancellation form provided with your order. You do not have to use the cancellation form if you clearly communicate your decision to cancel.

After telling us that you are cancelling, you normally have a further 14 days to return the Goods.

Unless we have agreed to collect the Goods, you are responsible for the direct cost of returning them where the law permits us to require this.

You must take reasonable care of the Goods while they are in your possession.

You may handle Goods to the extent necessary to establish their nature, characteristics and functionality, in the same way that you would reasonably be able to do in a shop.

If the Goods have been handled beyond what is reasonably necessary and their value has consequently been reduced, we may be entitled to make a deduction from the refund to reflect that reduction in value, where permitted by law.

  1. Goods Excluded from the Right to Cancel

The statutory 14-day cancellation right does not apply to certain Goods, including Goods made to the customer's specifications or clearly personalised where the relevant legal exemption applies.

This may include bespoke, made-to-measure, customised or specially manufactured tarpaulins and covers.

Whether a particular product falls within this exemption depends on the nature of the Goods and how they have been made or customised.

Before ordering a bespoke or made-to-measure product, please ensure that all measurements and specifications supplied to us are correct.

If you are unsure whether a product is eligible for cancellation, please contact us before placing your order.

Nothing in this section affects your statutory rights where bespoke or customised Goods are faulty, defective, not as described or otherwise fail to conform to the Contract.

  1. Returns and Refunds

When you cancel a Contract using your statutory cancellation rights, we will refund the payments we are required to refund by law.

This normally includes the cost of the standard delivery service originally selected. If you selected a more expensive delivery service, we are not required to refund the additional amount above the cost of the least expensive standard delivery option we offer.

We will normally issue the refund using the same payment method used for the original transaction, unless otherwise agreed with you.

Where permitted by law, we may withhold the refund until we have received the returned Goods or you have provided reasonable evidence that they have been sent back, whichever occurs first.

Where Goods are faulty, not as described, incorrectly supplied or otherwise fail to meet your statutory rights, we will provide the appropriate remedy required by law.

Depending on the circumstances and applicable law, this may include repair, replacement, price reduction, refund or another statutory remedy.

Where Goods are returned because they are faulty, incorrectly supplied or otherwise fail to conform to the Contract, we will deal with return costs in accordance with your statutory rights.

Returns outside of the statutory cancellation period

Where a customer wishes to return non-defective standard stock Goods after the statutory cancellation period has expired, we may, at our discretion, agree to accept the return as a goodwill gesture.

Any such return must be agreed with us in advance and the Goods must be unused, undamaged and in a resaleable condition.

Where we agree to accept such a return, the customer is responsible for the cost of returning the Goods and we may apply a restocking and handling fee.

We may also deduct any reasonable additional costs incurred as a result of the return, including collection, carriage, special handling or repackaging costs, where applicable.

Returns outside the statutory cancellation period are subject to our agreement and are not an automatic right.

This provision does not apply where the customer is exercising a statutory right or where Goods are faulty, incorrectly supplied or otherwise fail to conform to the Contract.

  1. Faulty, Damaged or Misused Goods

All Goods supplied to consumers must comply with the statutory rights applicable to consumer contracts.

If you believe that Goods are faulty, defective or do not conform to the Contract, please contact us as soon as reasonably practicable.

We may ask for photographs or other reasonable information to help identify the problem.

Damage caused by misuse, incorrect installation, inadequate fixing, improper storage, accidental damage, modification or normal wear and tear may not constitute a manufacturing defect.

For example, tarpaulins may be damaged by inadequate fixing, excessive tension, unsuitable securing methods, contact with sharp or abrasive surfaces, or other inappropriate use.

UV degradation may occur over time depending on the material, application and exposure conditions and is not necessarily evidence of a manufacturing defect.

These provisions do not affect any statutory rights you may have.

  1. Guarantees

Where we describe a product as being guaranteed, the terms of that guarantee will be provided with or alongside the relevant product information.

Any guarantee we provide is in addition to, and does not replace, your statutory rights.

  1. Intellectual Property and Image Use

Unless otherwise stated, photographs, product images, text, graphics, logos and other content appearing on this website are owned by or licensed to Tarpaflex Ltd.

You must not copy, reproduce, modify, distribute or use our images or other website content for commercial purposes without our prior written permission.

  1. Privacy

We process personal information in accordance with our Privacy Policy.

We use information provided by customers to process and fulfil orders, provide customer services, administer accounts where applicable, process payments, arrange delivery, prevent fraud and comply with our legal obligations.

We may share relevant information with payment providers, delivery companies, technology providers and other service providers where necessary to process and fulfil an order or operate our website.

We do not sell customers' personal information.

Our Privacy Policy provides further information about how we collect, use, store and protect personal information.

  1. Cookies

Our website uses cookies and similar technologies.

Some cookies are strictly necessary for the operation of the website, including those required for shopping-basket and checkout functionality.

Where required by law, we will ask for your consent before using non-essential cookies or similar technologies.

  1. Events Outside Our Reasonable Control

We will not be responsible for delay or failure to perform our obligations where this is caused by circumstances outside our reasonable control, including severe weather, fire, flood, industrial action, transport disruption, supplier failure, power failure, government action or other events beyond our reasonable control.

We will take reasonable steps to minimise the effects of such events where reasonably practicable.

This section does not affect your statutory rights as a consumer.

  1. Website Availability and Content

We aim to keep our website accurate, available and up to date, but we do not guarantee that the website or any particular content will always be available or free from errors.

We may update product information, specifications, availability and website content from time to time.

Changes to website content will not affect a Contract which has already been formed, except where permitted or required by law.

  1. Governing Law

These Terms are governed by the laws of England and Wales.

If you are a consumer, nothing in these Terms affects any mandatory rights you may have under the law applicable to your consumer Contract.

Where you are a consumer, you may bring legal proceedings in respect of your Contract in the courts of England and Wales or, where applicable, the courts of another part of the United Kingdom in which you live.
